IMPORTANT NOTICE:
Oliv Technologies (oliv.tech) is a brand and service operated by Think Strategi for Marketing and PR (License No. 1541217), a company registered in Dubai, United Arab Emirates. Throughout these Terms, references to “Oliv,” “Oliv Technologies,” “Oliv.tech,” “we,” “us,” or “our” refer to Think Strategi for Marketing and PR trading as Oliv Technologies.

1. Definitions

For the purposes of these Terms, the following definitions apply:

“Oliv,” “Oliv Technologies,” “Oliv.tech,” “we,” “us,” or “our” means Think Strategi for Marketing and PR (License No. 1541217), a company registered in Dubai, UAE, operating under the brand name Oliv Technologies and the domain oliv.tech.
“Account” means the Oliv Technologies account registered by or on behalf of you to access the Services.
“Authorized Users” means your employees, contractors, or agents who are authorized by you to access and use the Services under your Account. You are responsible for their actions and omissions.
“Plan” means the subscription tier selected by you, including its features, limitations, and associated fees.
“Billing Cycle” means the recurring billing period for your subscription (monthly) as specified at sign-up or in your Order.
“Services” means the mobile application development platform, dashboard access, technical infrastructure, app store submissions, maintenance, updates, and related services provided by Oliv Technologies.
“Merchant App” means the native mobile application (iOS and Android) built by Oliv Technologies for your Shopify store.
“Your Content” means all data, information, text, images, logos, and other materials you provide or upload through the Services, including through the dashboard.
“Dashboard” means Oliv’s web-based interface that allows you to customize your Merchant App’s design, branding, and manage features.
“Setup Fee” means the one-time fee charged for initial Shopify integration, payment gateway configuration, category setup, and app store submission.

2. Eligibility

The Services are intended for business and commercial use only. By using the Services, you represent and warrant that you are at least 18 years of age, capable of entering into binding contracts, and, if using on behalf of an entity, authorized to bind that entity. You agree to provide accurate, current, and complete information during registration and maintain the security of your account credentials. You are responsible for all activities under your Account.

3. Services Provided

Oliv Technologies provides a Mobile-as-a-Service platform enabling Shopify merchants in the GCC to launch native mobile applications for their e-commerce stores. Our Services include:

Technical Setup: Shopify store integration, payment gateway configuration, backend infrastructure, category setup, and synchronization
App Development: Building native iOS and Android applications
Dashboard Access: Intuitive interface for customizing splash screens, home page layouts, brand colors, logos, and managing features
App Store Submission: Handling all submissions to Apple App Store and Google Play Store
Ongoing Maintenance: Updates, bug fixes, security patches, and technical monitoring
Support: Technical assistance and customer support
Optional Services: Design services, custom integrations, and premium add-ons may be offered separately

The Services are designed to deliver your Merchant App within seven (7) business days from subscription and provision of required materials.

4. Subscriptions, Fees & Payment Terms

Subscription Fees: Your subscription includes monthly recurring fees as specified in your selected Plan, plus a one-time Setup Fee charged upon initial subscription.

Automatic Renewal: Unless canceled, your subscription automatically renews at the end of each Billing Cycle and applicable fees will be charged to your designated payment method.

Fees and Taxes: You authorize Oliv Technologies (or its billing provider) to charge all subscription fees, Setup Fees, add-on charges, and applicable taxes. Fees are exclusive of taxes; you are responsible for all taxes except Oliv’s income taxes.

Setup Fee: The Setup Fee is due upon subscription and covers initial technical work including Shopify integration, payment gateway configuration, category setup, and app store submissions. Setup Fees are non-refundable once work has commenced.

Add-On Services: Optional add-ons (such as custom design services, advanced integrations, or premium features) are charged separately and billed according to the terms specified at purchase.

Late Payments: Unpaid amounts may accrue interest at the maximum rate permitted by law. If payment is not received within fourteen (14) days after the due date, Oliv may suspend access to the Services and Dashboard. If payment remains outstanding for more than twenty-eight (28) days after the due date, Oliv may terminate your Account and deactivate your Merchant App without further notice.

Fee Changes: Oliv may adjust its fees with at least thirty (30) days’ prior notice. Fee changes take effect upon your next renewal.

Refunds: Except as required by law or specifically stated in Section 4.2, all fees — including subscription fees, Setup Fees, and add-on charges — are non-refundable.

4.1 Plan Changes & Cancellation

Upgrades: You may upgrade your Plan at any time. Additional charges apply on a pro-rated basis for the remainder of the current Billing Cycle.

Downgrades: Downgrades take effect at the start of the next Billing Cycle. No refunds are issued for mid-cycle Downgrades.

Cancellation: You may cancel your subscription at any time through your Account settings or by contacting Oliv support. Cancellation takes effect at the end of the current Billing Cycle. You will retain access to the Services until the end of the paid period. No refunds will be issued for partial Billing Cycles.

Post-Cancellation: Upon cancellation, your Merchant App will be deactivated and removed from app stores. Your Dashboard access will be terminated. Oliv may retain or delete Your Content according to its data retention policies.

4.2 Refunds and Disputed Charges

Refunds: Fees are generally non-refundable. However:

30-Day Satisfaction Guarantee: If you are not satisfied with your Merchant App within thirty (30) days of initial launch, you may request a refund of your first month’s subscription fee (Setup Fee is non-refundable). The refund request must be submitted in writing with specific reasons for dissatisfaction.
Service Failure: If Oliv fails to deliver your Merchant App within fourteen (14) business days of receiving all required materials, you may request a full refund including the Setup Fee.
Statutory Rights: Nothing in these Terms affects your statutory rights under applicable consumer protection laws.

Disputed Charges: You must notify Oliv in writing within thirty (30) days of a charge to dispute it. Oliv will review disputes in good faith and respond within fourteen (14) business days.

5. App Store & Third-Party Services

App Store Compliance: You must comply with Apple App Store, Google Play Store, and Shopify policies. Oliv is not responsible for rejection, removal, delays, or limitations imposed by app stores. App store review times are estimates and not guaranteed.

Billing Through App Stores: If applicable, billing, refunds, and subscription management through app stores are governed by their respective policies.

Shopify Integration: The Services require an active Shopify store subscription. You are responsible for maintaining your Shopify account in good standing. Oliv is not liable for service disruptions caused by Shopify outages or policy changes.

Third-Party Integrations: Optional integrations with third-party services (payment gateways, analytics platforms, etc.) are at your risk and subject to their terms. Oliv does not control, endorse, or guarantee third-party services.

Merchant Responsibility: You are responsible for fees, obligations, and compliance related to app stores, Shopify, and any third-party platforms. Oliv is not liable for damages arising from third-party services or their policies.

6. Content Ownership & Licenses

Your Ownership: You retain all ownership rights to Your Content, including logos, images, product information, and brand materials provided through the Dashboard or during setup.

License to Oliv: By providing Your Content, you grant Oliv a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, display, and distribute Your Content solely as necessary to provide the Services and operate your Merchant App. This license terminates when you remove the content or terminate your subscription, except where retention is required by law.

Your Representations: You represent and warrant that: (a) you own or have the necessary rights to all Your Content; (b) Your Content does not infringe any third-party intellectual property, privacy, or other rights; (c) Your Content complies with all applicable laws and regulations.

Feedback: Any feedback, suggestions, or ideas you provide to Oliv may be used freely without obligation or compensation to you.

7. Intellectual Property Rights

All rights, title, and interest in and to the Services, including all software, technology, algorithms, dashboard interface, code, designs, documentation, and other materials provided by Oliv, are owned by Think Strategi for Marketing and PR or its licensors and are protected by applicable intellectual property laws, including but not limited to copyright, trademark, patent, and trade secret laws.

Oliv Trademarks: The “Oliv Technologies” name, logo, “Oliv.tech” domain, and other marks (“Oliv Marks”) are trademarks of Think Strategi for Marketing and PR. You may not use Oliv Marks without Oliv’s prior written consent, except as expressly permitted for promotional purposes (e.g., “Built with Oliv” attribution in app store listings).

Restrictions: You may not: (a) reverse engineer, decompile, or disassemble the Services; (b) copy, modify, or create derivative works of the Services; (c) remove or alter any proprietary notices; (d) use the Services to build competitive products; (e) register domain names or social media handles incorporating Oliv Marks.

Limited License: Oliv grants you a limited, non-exclusive, non-transferable license to access and use the Services and Dashboard solely for your internal business purposes in accordance with these Terms.

8. Professional Services & Add-Ons

Optional professional services such as custom app design, splash screen creation, home page layout design, or technical consultancy may be offered separately with specific scope and pricing.

Fees: Professional services fees are charged separately and are non-refundable once work has commenced.

Delivery: Services are provided on a commercially reasonable efforts basis. Delivery timelines are estimates. Outcomes are not guaranteed but Oliv will use good-faith efforts to meet agreed specifications.

Client Cooperation: Timely delivery depends on your provision of required materials, feedback, and approvals. Delays caused by client non-cooperation may extend delivery timelines.

9. Your Responsibilities

You agree to:

Provide accurate information and required materials (Shopify store URL, product data, branding assets) promptly
Maintain an active Shopify subscription in good standing
Comply with all applicable laws, including data protection, consumer protection, and e-commerce regulations in the GCC
Ensure Your Content does not violate third-party rights or contain illegal, harmful, or offensive material
Maintain the security of your Account credentials
Supervise all Authorized Users and ensure their compliance with these Terms
Respond to customer inquiries and handle customer service for your Merchant App
Comply with app store policies and guidelines

10. Prohibited Uses

You may not:

Use the Services for any unlawful purpose or in violation of these Terms
Upload content that infringes intellectual property rights, violates privacy laws, or is defamatory, obscene, or harmful
Attempt to gain unauthorized access to the Services, Dashboard, or Oliv’s systems
Interfere with or disrupt the Services or servers
Use the Services to distribute malware, spam, or engage in fraudulent activities
Resell, sublicense, or transfer your Account without written permission
Use the Services to create apps for third parties (unless enrolled in a partner program)

Oliv may suspend or terminate your Account immediately for prohibited uses.

11. Service Level & Delivery

7-Day Delivery: Oliv will use commercially reasonable efforts to deliver your Merchant App within seven (7) business days from subscription, provided you have:

Completed payment including Setup Fee
Provided all required materials (Shopify store credentials, branding assets, content)
Responded promptly to any clarification requests

Delays: Delivery may be delayed due to: (a) incomplete or late provision of materials; (b) requested changes to scope; (c) app store review delays; (d) force majeure events. Oliv will notify you of any anticipated delays.

No Uptime Guarantee: While Oliv maintains commercially reasonable infrastructure, no specific uptime percentage is guaranteed. Oliv is not liable for service interruptions caused by maintenance, third-party failures, or force majeure.

12. Termination & Suspension

Termination by You: You may terminate your subscription at any time. Termination takes effect at the end of the current Billing Cycle. Access continues until that date.

Termination by Oliv: Oliv may suspend or terminate your Account immediately if you:

Fail to pay fees within the grace periods specified in Section 4
Violate these Terms, including prohibited uses
Engage in fraudulent or illegal activities
Provide false information
Pose a security risk to the Services or other users

Effects of Termination: Upon termination:

Your right to access the Services and Dashboard ceases immediately (or at end of paid period for voluntary cancellations)
Your Merchant App will be deactivated and removed from app stores
All outstanding fees become due immediately
Oliv may delete Your Content after a reasonable retention period (typically 30 days)
Provisions that by nature should survive (payment obligations, intellectual property, limitations of liability, indemnification) remain in effect

Data Export: You may request export of Your Content before termination by contacting support. Oliv is not obligated to provide data after termination.

13. Disclaimers & Limitation of Liability

AS-IS BASIS: THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. OLIV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

No Guarantee: Oliv does not guarantee that: (a) the Services will meet your requirements; (b) your Merchant App will achieve specific download numbers, revenue, or conversion rates; (c) app store submissions will be approved; (d) the Services will be uninterrupted or error-free; (e) defects will be corrected within any specific timeframe.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OLIV SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF ANTICIPATED SAVINGS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OLIV’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO OLIV FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
MULTIPLE CLAIMS SHALL NOT EXPAND THIS LIMIT.

High-Risk Activities: The Services are not designed for use in hazardous environments where failure could cause death, serious injury, or environmental damage. You assume all risks from any prohibited use.

Jurisdictional Exceptions: Certain jurisdictions do not allow the exclusion of certain warranties or limitation of liability for death, personal injury, or fraud. In such cases, Oliv’s liability will be limited only to the extent permitted by applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Think Strategi for Marketing and PR (trading as Oliv Technologies), its affiliates, and their respective officers, directors, employees, agents, contractors, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your access to or use of the Services or Dashboard
Your Merchant App and its content
Any violation of these Terms or applicable law by you or your Authorized Users
Your Content, including any claim that it infringes or misappropriates third-party rights or violates privacy, data protection, consumer protection, or other laws
Any disputes between you and your end-users or customers
Your relationship with Shopify, app stores, or any third-party service providers
Any product liability claims related to products sold through your Merchant App
Any unauthorized access to your Account due to your failure to maintain security

Oliv reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with Oliv’s defense. You shall not settle any claim without Oliv’s prior written consent.

15. Data Protection & Privacy

Privacy Policy: Your use of the Services is also governed by Oliv’s Privacy Policy, which is incorporated by reference into these Terms.

Data Processing: Oliv processes personal data in accordance with applicable GCC data protection laws and regulations. You are responsible for obtaining necessary consents from your customers for data collection through your Merchant App.

Data Security: Oliv implements commercially reasonable security measures to protect data. However, no system is completely secure. You acknowledge the inherent risks of internet-based services.

Customer Data: You retain ownership of all customer data collected through your Merchant App. You are solely responsible for the lawful collection, use, and protection of customer data.

16. Force Majeure

Oliv shall not be liable for failure or delay in performing its obligations caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, embargoes, labor disputes, pandemics, government actions, power failures, internet outages, failures of Shopify or app store platforms, or failures of hosting or telecommunications providers.

Suspension: Obligations affected by force majeure are suspended for the duration of the event and resume when conditions permit. Fees continue to accrue unless service is unavailable for more than seven (7) consecutive days, in which case pro-rata credits may be issued at Oliv’s discretion.

Termination: If force majeure continues for more than sixty (60) days, either party may terminate the affected Services by written notice. Fees paid for unutilized periods may be refunded on a pro-rata basis.

17. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the emirate of Dubai, without regard to conflict of laws principles.

Informal Resolution: Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for at least thirty (30) days after written notice.

Jurisdiction: Any dispute that cannot be resolved through negotiation shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Both parties irrevocably submit to such jurisdiction.

Filing Period: Any claim or cause of action must be filed within one (1) year after it arose; otherwise, the claim is permanently barred.

Class Action Waiver: To the extent permitted by law, you and Oliv agree that disputes may only be brought on an individual basis, and not as a plaintiff or class member in any class, consolidated, or representative action.

Costs: Each party will bear its own attorneys’ fees unless otherwise awarded by a court.

18. General Provisions

Entire Agreement: These Terms, together with Oliv’s Privacy Policy and any Order forms, constitute the entire agreement between you and Oliv regarding the Services and supersede all prior agreements.

Amendments: Oliv may modify these Terms at any time. Material changes will be notified by email or through the Services at least thirty (30) days before taking effect. Continued use after changes take effect constitutes acceptance.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver: Failure to enforce any right or provision does not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your Account without Oliv’s written consent. Oliv may assign these Terms without restriction.

Notices: All notices must be in writing and sent to the contact information provided in your Account or to Oliv at the address below.

Language: These Terms are executed in English. Any translation is for convenience only; the English version prevails.

Relationship: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Oliv.

By subscribing to and using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
